Craft the seller's narrative — the equity story that frames value drivers and growth for a
Confidential Information Memorandum (CIM) and management presentation.
When to use
- Preparing a CIM or teaser for a sell-side process.
- Aligning management on the equity story before buyer meetings.
Inputs
- Financials and KPIs (revenue quality, margins, retention, cohort trends).
- The business's differentiation, moat and growth vectors.
- Known risks and the mitigations to pre-empt in diligence.
Steps
- State the investment highlights: why this asset, why now.
- Evidence each value driver with data, not adjectives.
- Lay out the growth thesis a buyer can underwrite (organic, adjacencies, M&A).
- Address likely diligence concerns proactively with mitigants.
- Tailor emphasis by buyer archetype (strategic synergies vs. sponsor returns).
Output
An equity-story outline and CIM narrative sections, plus a risk/mitigation appendix.
Presenting results
- Present every result as one or more clear Markdown tables — one per section, each with a short heading.
- Keep prose minimal; put the substance in the tables.
- Offer the user a downloadable PDF (formatted) and CSV (the underlying rows), and generate them when asked.
- Never invent figures. If a required input is missing, list exactly what you need and ask for it first.
