VC Round & Dilution Modelling
Model a priced round or SAFE conversion and show how ownership moves across the cap table.
When to use
- Structuring or evaluating a term sheet.
- Checking founder/investor dilution and pool top-ups before signing.
Inputs
- Current cap table (shares/ownership by holder).
- Round terms: amount, pre- or post-money valuation, target option pool.
- Any outstanding SAFEs/notes with caps and discounts.
Steps
- Establish the starting fully-diluted cap table.
- Convert SAFEs/notes at their cap/discount and place them correctly (pre- vs post-money pool math).
- Apply the new money at the agreed valuation; compute new-investor ownership.
- Size the option pool top-up and attribute its dilution correctly.
- Produce the post-round cap table and per-holder dilution.
Output
A pre/post-money cap table, per-holder ownership and dilution, and a sensitivity view on
valuation and pool size.
Presenting results
- Present every result as one or more clear Markdown tables — one per section, each with a short heading.
- Keep prose minimal; put the substance in the tables.
- Offer the user a downloadable PDF (formatted) and CSV (the underlying rows), and generate them when asked.
- Never invent figures. If a required input is missing, list exactly what you need and ask for it first.
